Terms of Use

This email address also serves as the single point of contact under Articles 11 and 12 of Regulation (EU) 2022/2065 on digital services, for both Users and competent authorities. Communications may be in French or English. This channel allows direct contact with LDSR Ventures and does not rely exclusively on an automated tool.

Infrastructure hosting provider: Laravel Cloud, a service provided by Laravel Holdings Inc., a US company whose address is 60 Broad Street, 24th Floor #1559, New York, NY 10004, United States. Website: Laravel Cloud. Email contact: support@laravel.com.

The hosting provider’s address does not, by itself, indicate the country in which a Workspace’s data is stored. Processing locations and any transfers are specified in the personal data information notice.

These Terms of Use define the rules for accessing and using pealhq.com, the application, user feedback portals and widgets provided by pealHQ (the “Service”).

They apply to people who administer a workspace and people who browse a portal, submit a request, vote, comment or follow updates. Subscriptions are reserved for business customers and governed by the Terms of Sale. This restriction does not apply to Participants: private individuals may browse, vote and comment according to the portal’s rules and access settings.

The Terms of Use are supplemented by the separate personal data protection information, the pealHQ cookie policy and, for the relevant processing involving Customers, the data processing agreement provided for in the Terms of Sale. The Terms of Use do not replace any of these documents.

2. Definitions and roles

A “Customer” is a business that has opened a Workspace or taken out a subscription under the Terms of Sale, including during a trial or under a free plan.

A “Workspace” is a Customer’s working environment.

The “Manager” is the Customer, acting directly or through its authorised administrators, in all matters relating to its portal.

A “Participant” is an individual, acting in a personal or professional capacity, who uses a portal’s features to contribute or follow information.

A “User” is anyone who uses the Service, including a visitor, Manager or Participant.

A “Contribution” is any content published by a User: a request, vote, comment, attachment or reply, to the extent that the corresponding feature is available.

LDSR Ventures provides the technical tool. The Manager chooses who is admitted, the information published, the moderation rules and the action taken on requests. The name or logo displayed on a portal may be the Manager’s.

A Participant does not take out the Manager’s subscription merely by participating in its portal. Any commercial relationship between them remains separate from the technical use of pealHQ.

3. Application and acceptance of the Terms of Use

The Terms of Use contain two types of provisions.

The access, content and moderation rules (Articles 4 to 7) apply to all use of the Service, including browsing a public portal or participating anonymously. They are brought to Users’ attention through a link accessible from each portal and near contribution forms. Anyone using the Service undertakes to comply with them.

Provisions creating contractual obligations beyond those rules are accepted through an explicit action by the User after the text has been presented, particularly when creating an account or activating an identified participation flow.

The Manager may present additional rules specific to its portal. These must be clearly brought to the attention of the people concerned. They may not authorise conduct prohibited by law or the Terms of Use, infringe Participants’ mandatory rights, or alter LDSR Ventures’ obligations without its agreement.

The User must have the capacity or authorisations required for the actions they take. If acting for an organisation, they act within the scope of their authority. A minor under fifteen may create an account or participate in an identified manner only with the agreement of a holder of parental responsibility.

This access rule does not mean that a minor aged fifteen or over may enter into any contract alone. Where data processing is based on consent in the context of an online service offered directly to a minor under fifteen in France, the joint consent of the minor and a holder of parental responsibility is obtained under the conditions prescribed by law.

4. Access, accounts and security

Using the Service requires an internet connection and a compatible browser. Equipment and connection costs remain the User’s responsibility.

Depending on the Manager’s settings, a portal may be public or private. It may offer anonymous participation, login through a link sent by email, or login through the Manager’s identification system. Access to one portal confers no rights over other Workspaces or the Service’s administration.

Administrators are responsible for the permissions they grant. Each User provides accurate information when requested and protects their credentials and login links. They must not use someone else’s identity or share personal access with an unauthorised person.

If suspicious access occurs, the User notifies the Manager and, if the incident concerns pealHQ, LDSR Ventures at thomas@pealhq.com. Use of an identifier is a technical indication of access. It does not deprive its holder of the ability to dispute fraudulent use.

On a portal allowing anonymous participation, an identifier stored in the browser makes it possible to recognise the same visitor’s earlier contributions. Deleting it or changing browsers may prevent that recognition. This mode guarantees neither the absence of technical data (IP address, security logs) nor the impossibility of identifying someone from information they publish themselves.

5. Requests, votes, comments, roadmap and updates

Depending on the features enabled by the Manager, Participants may suggest improvements, view requests, vote, comment and follow progress. Administrators may, among other things, organise requests, identify duplicates, merge certain Contributions, change statuses, archive requests and publish updates.

The Manager alone decides what action to take on Contributions. A vote, a status such as “planned” or a position on a roadmap does not, by itself, constitute a delivery or timing commitment. Any separate commercial commitment made by the Manager to its own customers remains applicable between them.

Roadmap or changelog information is published under the responsibility of its author or the relevant Manager. LDSR Ventures does not become the author of those announcements merely by hosting them.

6. Permitted content and User warranties

Users publish Contributions relevant to the portal’s purpose and respect other people. In particular, they must not engage in:

  • unlawful content, threats, harassment, discriminatory statements or infringements of others’ rights;
  • impersonation, spam, repetitive solicitation or vote manipulation, particularly through multiple accounts or identities;
  • publishing passwords, access secrets, banking data or personal information about a third party without appropriate justification and authorisation;
  • malicious files, unauthorised access attempts, circumvention of restrictions or actions compromising the Service’s security or availability;
  • unlawful collection or reuse of data from a portal, including through automated extraction;
  • infringements of others’ intellectual property rights or confidentiality.

Each User warrants that they hold the necessary rights to what they publish and that their Contributions do not infringe third-party rights. They remain responsible for their content, without relieving LDSR Ventures or the Manager of their own obligations.

A public portal makes its content accessible to visitors. Third parties may view, copy or index that content. Users should avoid publishing confidential information there and check the portal’s visibility before contributing.

The Manager informs Users before a visibility change that may make previously private Contributions public and ensures it has an appropriate basis for this new disclosure.

7. Moderation, reporting and appeals

7.1 Who moderates

The Manager moderates its portal’s Contributions according to the stated rules. It may, for example, hide a comment, handle a duplicate, archive a request or restrict access. Its decisions are proportionate to their grounds and respect the rights of the people concerned.

For Contributions stored at Users’ request, LDSR Ventures acts as a hosting service provider within the meaning of the French Law on Confidence in the Digital Economy and Regulation (EU) 2022/2065. It does not systematically review portal content before publication. It may intervene to protect the Service, remove or disable access to unlawful content, or comply with a legal obligation or an authority’s order.

7.2 Tools used

Moderation relies on human review by administrators and LDSR Ventures. Depending on the Customer’s plan, the Service offers matching of similar requests based on words in their titles and descriptions. Suggestions help identify duplicates; they do not decide whether to merge or delete anything.

Merging, hiding or archiving a Contribution requires a human decision. The Service also applies technical access and validation controls and rate limits to certain flows, particularly authentication. These protections may reject a request without constituting a decision on whether content is lawful.

7.3 Reporting content

Anyone may report content they consider unlawful or contrary to the Terms of Use. Reports are sent to the Manager or LDSR Ventures at thomas@pealhq.com. A report sent to LDSR Ventures is handled by it, even if it concerns a Customer-managed portal.

For effective handling, a report should include:

  • the portal address and the precise location of the content;
  • a description of the facts and the reasons why the content is unlawful or contrary to the Terms of Use;
  • the reporter’s name and email address, except where the report concerns content for which the law permits anonymous reporting;
  • a statement of good faith regarding the accuracy of the information submitted.

LDSR Ventures acknowledges receipt where the contact details provided allow it and examines the report diligently. It may request clarification. It informs the reporter of its decision and available remedies under the applicable conditions.

7.4 Decisions and appeals

When action is taken concerning a Contribution or access (removal, hiding, restriction, suspension), the person concerned is informed of the reasons, the basis relied on (law or Terms of Use) and how to appeal. As required by applicable rules, the information specifies the facts relied on, the scope and duration of the measure and any use of automated means. It is provided no later than implementation where regulations require it, subject to legal exceptions, particularly in cases of deceptive high-volume commercial content.

A person affected by a measure, or the author of a report on which no action has been taken, may request a review through the same channel, providing relevant information. The review is carried out by a person and is not exclusively automated.

These arrangements limit neither additional remedies provided by regulations nor the ability to refer a matter to a competent authority or court. Manifestly unfounded and repeated reports may, following a warning, lead to a proportionate temporary suspension of their handling, after individual examination and under the conditions permitted by law. A simple error or a good-faith challenge does not justify such a measure.

8. Intellectual property, licence to Contributions and ideas

8.1 LDSR Ventures’ rights

Rights to the pealHQ software, its visual identity, trademarks and elements provided by LDSR Ventures belong to their respective owners. Making them available does not authorise their appropriation, reproduction or exploitation beyond permitted uses, subject to statutory exceptions and applicable licences.

8.2 Licence to Contributions

Users retain the rights they hold in their Contributions.

By publishing a Contribution, the User authorises LDSR Ventures and the relevant Manager, each as needed for their functions, to:

  • host it, technically reproduce it, store it and back it up;
  • display it to people admitted to the portal and, for a public portal, to any visitor;
  • format it, classify it, match it with other requests and merge it with similar Contributions;
  • transmit it to third-party services connected by the Manager where that transmission is necessary to handle the request.

This authorisation is non-exclusive, royalty-free, worldwide given online distribution, and limited to the needs of the Service. It lasts for as long as the Contribution is retained for those purposes, subject to applicable erasure rights and legally necessary retention.

It is neither a general assignment of the author’s rights nor permission to use a Contribution in advertising unrelated to the portal’s operation, unless separately agreed by its author. The author’s moral rights are preserved.

A removal request may be sent to the Manager. Its handling takes account of the author’s rights, other people’s rights (for example, comments and votes attached to the request) and legal obligations. Anonymisation may be considered where it effectively satisfies the request and applicable rights; maintaining the coherence of discussions alone does not justify refusing legally required erasure.

8.3 Ideas and suggestions

A pealHQ portal is intended to collect ideas for improvement. By proposing an idea, feature, correction or suggestion, the Participant accepts that the Manager and, in relation to pealHQ itself, LDSR Ventures may freely implement it, adapt it or take no action, without any obligation of attribution, compensation or restriction of use, subject to applicable intellectual property rights and confidentiality obligations.

This provision concerns ideas, concepts and suggestions, which are not protected as such by copyright. It does not transfer rights in the form of a Contribution (text, image, code) beyond the licence in Article 8.2 and does not constitute a licence to a patent or third-party rights. A Participant wishing to propose a contribution subject to special conditions should refrain from publishing it on the portal and contact the Manager directly.

9. Integrations and third-party websites

The Manager may connect its Workspace to third-party services included in its plan, particularly Linear when available. Certain content and data may then be transmitted to enabled services according to the permissions granted and settings selected. The Manager informs Participants of relevant recipients and purposes.

Integrations may experience delays, errors or interruptions. Synchronisation does not guarantee instant updating of all information or two-way synchronisation of all data. LDSR Ventures diligently addresses malfunctions attributable to it; those attributable to a third-party service are the responsibility of that service’s publisher, without relieving LDSR Ventures of its own obligations.

The pealHQ widget may be embedded in another website. That website’s own processing and trackers, outside the widget, are the responsibility of its publisher. pealHQ’s terms do not replace those of third-party services a User accesses.

10. Following requests and notifications

Where an identity with a usable email address is used, the Service may send notifications about followed requests, particularly when a comment is posted or a status changes, according to the Participant’s preferences.

Creating a request enables following it. The Participant may stop following it at any time from the request and manage the email categories they wish to receive in the portal’s notification settings. Reply, status change and changelog publication emails include a link to those settings; accessing them may require login. Voting or commenting does not, by itself, constitute agreement to receive all notifications: following a request is a separate choice.

Notifications about new changelog publications have a separate preference. Anonymous participation without an email address does not allow notifications to be sent to its author.

Messages necessary for login, security or performance of a contract are separate from subscriptions to updates. Acceptance of the Terms of Use does not constitute consent to receive direct marketing.

11. Personal data and cookies

The Manager determines the purposes of processing relating to its community and requests. It is the controller for that processing. It provides the necessary information to data subjects and handles rights requests within its responsibility. LDSR Ventures acts on its behalf as a processor under the data processing agreement provided for in the Terms of Sale.

LDSR Ventures is the controller for processing whose purposes it determines itself: managing customer accounts, billing, Service security and technical logs, support and handling reports. That processing is covered by a privacy notice separate from these Terms of Use, specifying in particular the purposes, legal bases, recipients, retention periods, processing locations and any transfers outside the European Union.

Under the conditions laid down by the GDPR, anyone may request access to their data, rectification, erasure, restriction of processing or portability, and exercise their right to object. They should contact the Manager for their portal data and thomas@pealhq.com for processing under LDSR Ventures’ responsibility. A request sent to the wrong party is appropriately redirected or forwarded.

A complaint may be submitted to the French data protection authority (CNIL).

Cookies and local storage are used, among other things, to maintain login, secure actions, recognise anonymous contributions and remember preferences. They are described in the pealHQ cookie policy. Where a tracker requires consent, that consent must be obtained before activation through an appropriate mechanism; reading the policy or accepting the Terms of Use does not constitute consent.

Deleting this information from the browser may log the User out or prevent recognition of anonymous contributions; it does not constitute a request to erase data held on servers.

12. Availability and liability

LDSR Ventures takes the reasonable measures necessary for the Service’s proper operation and security. Interruptions may occur, particularly for maintenance or following an incident. Complete freedom from errors and permanent availability are not guaranteed, without prejudice to any specific commitment agreed with a Customer under the Terms of Sale.

LDSR Ventures makes the Service available to Participants free of charge. This does not determine the terms of any separate service the Manager provides to its own customers.

Each party is responsible for breaches attributable to it under applicable law. LDSR Ventures is not responsible for development choices or editorial or commercial commitments the Manager makes to Participants. It remains responsible for its own obligations to provide the Service.

No provision of the Terms of Use limits LDSR Ventures’ liability for gross negligence, intentional misconduct, personal injury or in cases where the law prohibits such limitation.

13. End of access

A User’s access may end at their request, following revocation of permissions by the Manager, closure of a Workspace, or a restriction justified by a breach of the Terms of Use, security or law. Measures are proportionate and, except in emergencies or where prohibited by law, reasons are provided to the affected User under Article 7.4.

Closing an account does not necessarily automatically delete all Contributions or data that must be retained by law. Requests for removal, anonymisation and erasure are examined according to applicable rights and Article 8.2. No provision of the Terms of Use deprives a User of mandatory rights or remedies.

For the Customer, closing an individual access is not a request to cancel the Workspace’s subscription. Cancellation must be carried out by an authorised person under the Terms of Sale: effective at the end of the monthly or annual term, without a refund for the remaining time merely for convenience, subject to legal obligations and breaches by LDSR Ventures. None of those financial obligations is transferred to Participants.

14. Changes to the Terms of Use

Material changes are brought to affected Users’ attention before taking effect, with reasonable notice and an explanation of their main consequences. If a change creates new contractual obligations, renewed acceptance is obtained under Article 3. An urgent update required by law or security may apply without notice incompatible with that urgency, with information provided as soon as possible.

Users who do not accept a change may stop using the Service and request closure of their access, without waiving their rights to their data. For Customers, the safeguards and cancellation arrangements in the Terms of Sale remain applicable.

When brought into force, the Terms of Use are published with their version number and effective date on pealhq.com. Previous versions are retained and made accessible so that Users can retrieve the text applicable to their acceptance.

15. Governing law and disputes

The Terms of Use are governed by French law, subject to mandatory provisions protecting the User, including those applicable in their country of residence where the law so provides.

The Terms of Use do not reduce any mandatory rights of Participants, including private individuals. They impose on them neither the financial obligations nor the cancellation arrangements of the subscription taken out by the Manager.

Complaints should be sent to thomas@pealhq.com. LDSR Ventures endeavours to respond within a reasonable time and seek an amicable solution. Failing that, the competent courts are determined under ordinary rules of law. No exclusive territorial jurisdiction is imposed on Participants.

The Terms of Use are drafted in French. In the event of a translation, the French version prevails, subject to applicable mandatory rules and without depriving a User of the protections to which they are legally entitled.
